Item number, consider and take appropriate action regarding the approval of a lease amendment to the amend and restated lease agreement relating to brackenridge hospital and seton health care relating to the high risk obstetrical clinic and austin's womens hospital.
>> > good morning, i'm stacy wilson representing central health and community care. And what we would like to do is just to give you a very brief overview of the purpose of this lease amendment and then answer any questions you might have. Today with me i have james davis and tom gallagher representing the seton family of hospitals, leslie fralick, community officer of community care and john stevens, chief financial officer of central health. The purpose of this lease amendment is two-fold. The first is to clear up some ambiguities and to clarify the parties' intent with regard to some of the terms relating to the austin womens hospital. Nothing is going to change in the day-to-day operation of that hospital. It had to do with some other technical terms that needed to be cleared up because when you looked at the language, frankly it didn't make much sense with how the relationship among the parties had evolved over time. The second thing had to do with the high risk obstetrical clinic located on the third floor of the professional office building that is co-located on the campus of university medical center brackenridge. Two things have happened. One is that, a as you probably know, seton has entered into a listening-term agreement with southwestern to facilitate the residency program and utmb is no longer involved in that. Given some concerns that had been raised about what you needed to do have a robust graduate program and to make sure the lease provisions were being honored, two things have happened. One is that the space will no longer be lease to do the seton family of hospitals. It will come back under the property that central health controls. And secondly, and frankly the more exciting piece about this is that it becomes part of community care scope of services. Community care will actually operate that high-risk clinic and so if you have a patient that's coming from community care south and gets handed off to the high-risk ob clinic, that patient is on the same electronic medical record, she sees the same physicians, she has the same scheduling appointments, there's a soft handoff once she delivers, and then she will come back with her child into the community care system. We think that's a bet overall outcome for the patient. We think it helps seton with an ethical and religious directive issue they were facing, and because it takes away one of the obligations that seton had under the lease, it is cost neutral to central health. We did the same type of arrangement that was done with austin womens hospital when it was built back in the early 2000s. The seton tammy of hospitals has signed the -- family of hospitals has signed the attempt, the amendment has approved the amendment and patricia brown has signed the amendment and it is here for your approval and we're all here to answer questions you might have about this amendment.
