Now let's call to order the Travis County housing finance corporation item no. 1. Consider and take appropriate action on request to approve minutes of board of directors meetings of October 2, October 16, October 23 and October 30, 2007.

>> all in favor? That passes by unanimous vote. 2. Consider and take appropriate action regarding construction of a visitation center at the Travis County community justice center, as follows: a by the way on that vote for number 1, director eckhardt was absent. 2 a is agreement for visitation center construction and donation between Texas department of criminal justice and Travis County housing finance corporation; and b, agreement for construction services between trimbuilt construction company and Travis County housing finance corporation. However, the corporation has never fully approved it. For the corporation to move forward, actually requires approval of about five items. First part was some money or the corporation's commitment to the project. The second one was the contract between Travis County and the corporation for construction management services. The third one would be an agreement for -- between the state and the corporation. The fourth item would be an agreement between the actual contractor trimbuilt and the corporation. And, finally, this did include a donation of $100,000 and probably would be appropriate to include some request of donation agreement between the parties. On the money side, the bid did come in at 269,700. The donation part was 100,000. At the last week's corporation's meeting, the corporation did approve an amount not to exceed 175,000. That did provide for contingency amount of about $5,300. Any amount that is remaining after this will go back into end fund balance for the corporation. The -- the board also approves the -- the contract between Travis County and the corporation for the construction management. That -- that today the two items that we are seeking approval on is first the contract for the agreement between the state and the corporation. And between the -- the contractor trimbuilt and the corporation.

>> let's take them one at a time.

>> on a we approved the money last time at the last meeting, including an additional amount from housing finance corporation. And we previously approved the contribution of $100,000. So that gets us the total that we need, 175,000 from the finance corporation and the other 100,000. This contract before us in a is how much?

>> this contract --

>> okay. I’m sorry.

>> all right.

>> this contract is between -- this is between the state and the corporation.

>> do we need to do b first?

>> well, a is the contract between the corporation and the Texas department of criminal justice. And it does not set an amount. It states that the corporation will build this facility and then the department will accept it after it's completed. So there's really not a dollar am. Just an agreement to build and donate this visitor center facility. In the second -- in the b contract is the actual construction contract which is for the 269-7.

>> all right. So the -- so the -- all right. I see 2 a here. In the backup, should it really be 2 b? Because it has Texas department of criminal justice.

>> that's the 2 a contract. The agreement for visitor center construction and donation.

>> between the Texas department of criminal justice and Travis County housing finance corporation.

>> yes, sir.

>> okay.

>> any questions about it? Pretty much sets forth what we have been talking about for the last couple of years, right?

>> yes, sir. It's in basically the same form that it's been in for a little over a year, after we negotiated it with the department. It's in good shape.

>> okay.

>> it has not been signed by the state, but we have every reason to believe that they agree with it.

>> they have actually requested that the corporation sign it and then send them a signed copy for signature. We have been in contact with their general counsel over the last week, that's what they've asked us to do.

>> they are in agreement with you.

>> yes, sir.

>> that's why I move approval.

>> discussion. All in favor? That passes by unanimous vote. Now let's go to b. It's between trimbuilt and Travis County housing finance corporation. Questions, for $269,700 the amount that you have mentioned. We have approved a little bit more than this to sort of serve as a contingency. If not it stays in the corporation.

>> that's right.

>> there is one comment about the -- I’m not sure but I don't believe the corporation has actually received the $100,000 donation yet.

>> that's true.

>> it may be appropriate to structure the motion to make it subject to receiving that $100,000 donation.

>> contingent.

>> right. Make it contingent on that. However, even though the corporation has only committed the 175, it just may be a appropriate to -- to include that --

>> several times -- this doesn't go unless we have the full amount.

>> right. Exactly.

>> but I understand -- I understand your point, though. So what's the contractor's understanding as to timing of contract execution? Well, we told the contractor is that -- that the housing finance corporation board would have to approve the contract with the state and the state would have to sign that and then his contract would be signed after that. I did not give him a time frame on that, but I said that it's proceeding as quickly as we can make it happen.

>> well, we need to go ahead and do whatever is necessary to secure the 100,000.

>> and the contractor did sign the contract. Signed the contract.

>> I move approval of -- of b conditioned upon our receipt of the -- of the $100,000 so we probably ought to just hold on to the contract until we have that in hand.

>> second.

>> we'll put that on the agenda and formally receive it publicly. How's that?

>> okay.

>> and those were approved by director Davis. Any more discussion?

>> I have a couple of quick questions, just in terms of the backup. Have we resolved the possible cost increases due to tdcj building requirements. Do we know what those additional costs may be?

>> what's that?

>> I’m sorry, could you repeat the question?

>> all right. Will there -- I was looking at the memo from December 4th.

>> our office was in touch with the tdcj, is that right, legal counsel this week and they are assuming some additional -- they are sending some additional information, but there is no indication that there would be anything that jim hadn't already found out in discussing this with the staff over at the -- at the department. So I think that we are very comfortable that this will be it and there won't be any cost increases.

>> okay. That sounds great.

>> I believe that's correct.

>>

>> [indiscernible] contingency amount anyway. I think that was probably last time on that. What that exact was I can't recall.

>> approximately $5,300.

>> $300. I know -- $5,300.

>> I know a buffer. If not it goes back to the ending fund balance for the corporation.

>> that's correct.

>> we think that's sufficient to cover any unplanned cost increases due to tdcj building requirements.

>> I’m not anticipating that there will be any increases due to anything like that. I believe --

>>

>> complied with their requirements.

>> they have looked at this several times and over a long period of time.

>> and then -- did we resolve the -- the insurance recovering on-the-job injuries and damages? Do we know anything about that?

>> I really -- I believe last time it was a question about -- about any gap as far as insurance reliability that might come back to the corporation. I believe that was incorporated or going to be --

>> I think we determined that the contractor is carrying that insurance according to the contract.

>> that's what you said last week.

>> okay.

>> included in the contract, the condition.

>> thanks.
